On the evidence of the parties' correspondence (including documents marked 'without prejudice') the court found the parties reached a binding settlement: Plaintiff agreed to sell and Defendant agreed to buy the listed machinery, equipment and fittings for RM1,500,000. The mere absence of a signed draft consent order and unresolved mechanics of payment did not negate the existence of the agreement. The court therefore decided the dispute on that preliminary issue and gave effect to the settlement terms.
