The SPA (including Appendix 3) obligated the Defendant to execute the irrevocable PA on the SPA terms; the 1993 PA, being inconsistent and of fixed 30‑year duration, did not discharge the Defendant’s burden to prove a valid variation of the SPA; the Defendant breached the SPA by refusing to provide the PA and to execute memoranda of transfer for titles in its name; the Court exercised its discretion under s11 Specific Relief Act 1950 to grant the Plaintiff’s substantive remedies (prayers A, C, D and E).
