The s540(1) claim failed because the pleaded facts did not establish that fraudulent trading was found in the earlier proceedings nor a necessary nexus between the persons sued and any fraud established in those proceedings; the acts alleged occurred after the earlier proceedings and therefore the statutory ingredients for piercing the veil under s540(1) were not satisfied, rendering the claim frivolous/vexatious and an abuse of process and therefore properly struck out.
