The LOA was conditional and expressly subject to execution of a formal concession agreement; no concession agreement was ever executed and therefore no binding contract arose; consequently the High Court's finding of a concluded concession agreement and award for value and future profits was unsustainable and was set aside; alternatively, if a contract had existed it would have been frustrated by the 2005 constitutional amendment and federal legislation, limiting recovery to expenses under Civil Law Act s15.
