Plaintiffs failed to prove the existence and terms of the alleged agency agreement dating from 1988; the only documentary proof was a 1994 reference letter which the Court held was not a binding agency contract. As the plaintiffs did not discharge the legal burden, their claims failed; the Defendant proved its counterclaim on the balance of probabilities and was awarded RM79,919.46 with 5% p.a. interest from date of judgment until full settlement and costs of RM20,000.00.

On the balance of probabilities the Court found the Plaintiff committed multiple breaches of the Agency Agreement supported by his contemporaneous Interview Statement and the Compliance investigation; GE was entitled under clauses 18 and 20 to suspend, terminate and withhold commissions where termination resulted from fraud/deceit/breach of trust or gross misconduct; the interview was admissible and fair; accordingly the termination was lawful and Plaintiff's claims fail.
