The court held that by conduct and implementation of the Medicity Plan from 1 September 1986 the three parties had entered into binding obligations; Defendant 1 acted as agent of Defendant 2 and had authority to bind it; therefore Defendant 2 was liable to the Plaintiff for claims under the Plan despite the Plaintiff not being party to the subsequently executed Master Policy.
