On the face of the pleadings the Plaintiffs failed to plead facts establishing that the Defendant was bound by the Agreements because the alleged signatories had no authority (not directors or shareholders at the material times per SSM searches); absent pleaded authority or joinder of proper parties the claim disclosed no reasonable cause of action and was scandalous/frivolous and an abuse of process, therefore it was plain and obvious and properly struck out under Order 18 r.19.
