The company was wound up because on balance of probabilities the company had lost its substratum, the two equal shareholders were deadlocked with an irretrievable breakdown of trust and confidence caused by the sole director's conduct (including unilateral alteration of the constitution and exclusion of the petitioner from management and records), and the executor had no locus to dispose of company assets after the shares were transmitted; therefore it was just and equitable to wind up the company and award costs to the petitioner.
