The Court of Appeal set aside the High Court’s finding that the 2nd Defendant was liable for the 1st Defendant’s unpaid rent because the plaintiffs failed to prove the exceptional circumstances required to pierce one company’s veil and impose liability on another (actual fraud or equitable/constructive fraud).
