The court found no concluded January 2019 Agreement due to lack of certainty on consideration and inconsistent evidence and contemporaneous WhatsApp communications; however on the balance of probabilities the court found a 50:50 oral agreement (or agreement by conduct) that Chen and Lim would share acquisition costs of Dato' Rich's shares equally, and that Lim's retention of the ADSB share while Chen paid the bulk of acquisition and loan servicing obligations rendered Lim unjustly enriched; accordingly Lim was ordered to reimburse specified sums and the counterclaim dismissed.
