The application to determine the preliminary question was dismissed because the defendants who relied on the internal appeal route had effectively prevented the plaintiff from exhausting that remedy by refusing him access to the AGM; additionally the plaintiff's claims of abuse of power and ultra vires acts were fact‑sensitive and would not be resolved by a preliminary ruling, and defendants cannot approbate and reprobate.
