On the balance of probabilities the court found plaintiffs proved: the PJBs were uncertain and unlawful because the first defendant lacked enforceable beneficial title and failed to register leases and obtain required permits; the first defendant made fraudulent misrepresentations inducing plaintiffs to pay; the corporate form was used as a vehicle for fraud and the director (second defendant) had actual control so the veil was lifted; accordingly plaintiffs' claims succeeded and defendants were ordered to repay RM183,500 with costs and interest.
