On the balance of probabilities the court found that AD&M Global lost its substratum when Autodesk Asia terminated its reseller appointment and that the shareholder/director relationship had irretrievably broken down due to deliberate conduct by directors (unauthorised sharing of access, exclusion of co-directors from emails, removal of a director and selective litigation), and therefore it was just and equitable to wind up the company; a liquidator was appointed and costs ordered to be paid from company assets.
