TELC failed to prove oppressive conduct under s.346: the advances and development expenditures were for legitimate company projects disclosed to and acquiesced in by TELC; many complaints related to acts of separate related companies or private dealings, not to the exercise of corporate powers of MSEL/MSEE; material complaints had been cured or ceased (change of management) and there was inordinate delay and acquiescence; accordingly the court dismissed the application and refused the buyout remedy.
