On the balance of probabilities the court found the SPAs were sham instruments masking illegal unlicensed moneylending; parol and external evidence and similar-fact evidence were admissible to expose the true transaction; unlicensed moneylending rendered the agreements unenforceable under the Moneylenders Act and transfers obtained thereby were void/defeasible under NLC s340(2); restitution of principal was declined as contrary to statutory scheme and public policy.
