Euro Holdings failed to prove on the balance of probabilities the essential elements of conspiracy: no credible evidence of an agreement, no demonstrable intention to injure, and no acts causing proven damage; key witnesses lacked personal knowledge and Euroland's settlement and consent judgment undercut the conspiracy theory, therefore the counterclaim is dismissed and Euro Holdings remains liable under corporate guarantees.
