The court held the counterclaims alleging abuse of process were obviously unsustainable on their face: the applicants demonstrated the original proceedings were brought to obtain legitimate corporate accountability for an allegedly unauthorised and costly acquisition based on forensic findings and correspondence, not for a collateral improper purpose. The impairment under MFRS136 was a valid accounting decision and did not establish manipulation or an ulterior dominant motive. The counterclaims therefore failed the Order 18 r.19 threshold and were struck out.
