On the balance of probabilities the SPA and related documents were a sham masking an illegal unlicensed moneylending transaction; plaintiff therefore qualifies as an unlicensed moneylender and the SPA and subsequent undertakings are void and unenforceable under the Moneylenders Act 1951 and Contracts Act 1950; plaintiff's claim for RM265,000 fails and is dismissed with costs.
