The Letter of Undertaking and related JV documentation, read as a whole, required the balance of the 2.5% finder’s fee to be payable only upon signing of sale and purchase agreements for sold units and the plaintiff failed to prove any such sales or appointment as project coordinator; the JVA obligations were terminated by mutual termination following DBKL rejection, the initial RM250,000 satisfied the defendants' contractual obligation, and there was no withholding of material evidence to justify adverse inference; therefore plaintiff's claims fail on the balance of probabilities.
