While employed by the plaintiff the first and second defendants covertly formed and used Quantum Desire and collaborated with WHS to establish a competing JV (WQM), thereby misusing employer time, contacts, information and opportunities; such conduct constituted breaches of fiduciary and statutory directors' duties (s213, s218 Companies Act 2016) and de facto director liability, warranting judgment for the plaintiff and dismissal of defendants' counterclaims.
