The court dismissed the oppression claims because the impugned acts were management decisions authorised by the boards under section 211 and the companies' articles, were necessary and proportionate to protect company interests after evidence of wrongful transfer by an employee and involvement of the plaintiff, were subsequently ratified, and were justifiable under the agency of necessity and confidentiality requirements for ex parte Anton Piller relief; therefore no visible departure from fair dealing or unfair prejudice to the plaintiff was proven.
