RHB's 25.4.2024 letter and subsequent August disclosures did not constitute valid discharge of the ROFR because they were based on non‑binding Phase 1 bids, omitted full and salient terms (including inclusion of takaful which TMLM could not provide then), and failed to provide the full and fair disclosure of the final binding terms RHB was minded to accept; consequently TMLM's ROFR subsists and it is entitled to disclosure of the successful bid terms and injunctive protection until it is given a meaningful opportunity to match.
