Although the court found breaches of s131 (failure to disclose interests), Desacorp had not promptly elected to void the Aspire and Demeter agreements; facts established ratification and estoppel and there was insufficient evidence of breach of s132. Therefore the respondents were entitled to recover monies for work performed and Desacorp's counterclaims were dismissed; the appeals were dismissed and costs awarded to the respondents.
