Where the statutory requirements of Sections 17–20 SMA 2013 for convening the first AGM and establishing a JMB are satisfied and the Commissioner has issued or corrected the certificate, the JMB is valid; the Commissioner is statutorily protected (s145) and absent a court order served on the Commissioner the Commissioner cannot annul the establishment; related proceedings raising substantially the same relief render the subsequent suit an impermissible multiplicity and justify dismissal.
