The Federal Court held that directions given under s.237(3) CA / s.487(3) Act 777 are appealable where, on the factual matrix, the court's order operates as a final determinative order affecting substantive rights; applying that test the High Court's order in this case was not purely advisory and the Court of Appeal was right to intervene and direct implementation of the agreed first right of refusal and related sale arrangements; accordingly specified questions on appealability were answered affirmatively and the Court of Appeal's orders were affirmed.

On the affidavit evidence the defendant's assertions were bare, unsubstantiated and speculative; plaintiff proved it offered the first right of refusal and the defendant rejected it; there was no evidence of any sale to a third party or registerable acts (eg private caveat) to support defendant's claim; therefore no triable issue existed and summary judgment was appropriate ordering vacant possession and double rent with costs.

The Court of Appeal held the joint liquidators acted within their statutory powers by appointing an independent valuer and offering the properties by first right of refusal at market value; absent bad faith, arbitrariness or irrationality the court must not substitute its commercial judgment for that of liquidators under s236(3) CA 1965. The High Court erred in directing open tender and substituting its view; the appeals were allowed and the sale process ordered to follow the parties' agreed terms (Exhibit A) and valuation (Exhibit B).
