Once Plaintiff paid the full purchase price and received vacant possession, the registered proprietor (1st Defendant) is a bare trustee; the 1st Defendant has no lawful basis to refuse or withhold execution of the foreigner consent or transfer on the basis of alleged maintenance arrears to the 2nd Defendant; the 2nd Defendant has no statutory or contractual authority to collect maintenance charges (no JMB formed, no assignment, and not a licensed property manager); accordingly the Originating Summons is allowed and the Defendants' counterclaim is dismissed.
