The sale agreement vested beneficial ownership in the purchaser on payment and required vendors to resign; upon payment of RM1.3 million into the company account the defendants ceased management and fiduciary relations, thus the funds were held by the company and any claim for the RM650,000 should be against the company; accordingly the claim against the 2nd and 3rd defendants was plainly unsustainable and frivolous under O18 r19(1)(b) and was struck out.
