The Draft Agreement, although unsigned, was acted upon by the parties and contained a clear governing law clause amounting to an exclusive jurisdiction clause selecting Mumbai, India; the Plaintiff did not timely object to that clause and failed to demonstrate exceptional circumstances or strong cause to displace the clause; accordingly the Malaysian Court lacked jurisdiction to adjudicate and the claim was struck out; costs awarded to Defendants RM5,000.00.
