On the balance of probabilities and supported by contemporaneous documents and conduct (partners resolution, bank signatories, guarantees, emails and payment patterns), PK1 and PK2 were agents of the defendant by implied authority/holding out and therefore liable for the payments; the High Court correctly accepted credibility findings and the appeal is dismissed.
