On construction of the 12.3.2021 agreement as a whole it constituted an investment agreement; defendants failed to rebut presumption or raise any bona fide triable issue supported by evidence that the plaintiff was a moneylender or that the agreement was illegal; extension letters constituted admissions/acknowledgments and evidence of consent to extensions; guarantors D2 and D3 were bound by the continuing guarantee and remain liable; summary judgment therefore proper against D2 and D3; decision against D1 stayed pending judicial management application.
