Where articles and statute link retirement by rotation to the conclusion of a general meeting and concurrent eligibility to seek re-election, a director cannot be deemed to have retired merely by expiry of the period in which an AGM ought to have been convened; absent an AGM the retirement process (and any re-election) could not occur and the High Court’s declarations of deemed retirement were erroneous.
