Given this Court's prior order restoring KCHSB as the 100% beneficial owner of Zung Zang, the corporate representative of the holding company was entitled to requisition the subsidiary's EGM and resolutions passed were valid and effective under ss 152A(1) and 147(6) Companies Act; the Court of Appeal erred in requiring formal rectification of the register before recognizing the ownership or the representative's powers, therefore the appeal is allowed and the High Court judgment restored.
