The Court upheld the High Court: on the balance of probabilities Eastmont proved Mega Planner's business was carried on with intent to defraud creditors by orchestrating an uncontested JID and winding up via a related company controlled by the appellants; appellants knowingly participated (or turned a blind eye) and conspired to injure Eastmont; s540 may be invoked in separate proceedings and does not require incurring of new debt known to be irrecoverable; damages and exemplary damages were properly assessed.
