Because the Receiver and Manager was appointed as a direct consequence of a shareholders' dispute and the Tribunal found defendants 1, 2 and 4 breached the Shareholders' Agreement, the court exercised its discretion to order that defendants 1, 2 and 4 be jointly and severally liable to pay the Receiver's remuneration and related costs rather than charging company funds.
