The assignment of the judgment debt to the 1st defendant was valid; the company's articles lawfully created a contractual lien capable of extending to fully paid shares because Companies Act s111(1) allows the constitution to provide otherwise; section 124 Contracts Act is inapplicable to a company's lien over its shareholder's shares; Order 50 ROC does not preclude enforcement of a valid contractual lien by the company; accordingly the originating summons seeking to restrain enforcement was dismissed.
