Plaintiffs having paid the full purchase price are the beneficial owners and defendant is a bare trustee; defendant had no beneficial interest to justify retention of original strata titles and cannot impose payment of alleged maintenance arrears as a precondition to transfer. Alleged arrears must be pursued by proper statutory procedure (s.34 SMA 2013) or are time-barred under s.6 Limitation Act 1953; monies/rights vested in JMB/MC after their formation, removing defendant's entitlement to retain or press claims.
