Appellant failed to prove the alleged oral agreement or that the Members' Circular Resolution reflected such an agreement; material inconsistencies, lack of statutory circulation to all eligible members, implausibility of the commercial outcome, assignment clause in the SPAs and public policy issues regarding the bumiputra lot rendered the Resolution unreliable or void; therefore proceeds must be distributed according to shareholding and the High Court's dismissal of the appellant's claim and allowance of respondents' counterclaim was upheld.
