Defendants, although claiming agency, undertook tasks as appointed representatives, issued invoices in their names (or under unauthorised Vera Collection headings), concealed lack of authority, diverted funds through related/sham companies and engaged in dishonest conduct; they are therefore personally liable to the Plaintiff for RM368,878.00 (jointly and severally) with interest, exemplary damages RM30,000.00, general damages to be assessed, and costs RM20,000.00.
