On the balance of probabilities the court found the cash payments were a personal, interest‑free friendly loan to the Defendant rather than an investment: the term sheets and share sale agreement did not create binding obligations involving the Plaintiff, the Defendant failed to produce corroborating documentary evidence that sums were injected into Neurogine or that the Plaintiff acted for Sky International, and the RM320,000 part payment was voluntarily made (not under duress).
