The court found the Plaintiff owned the Flexi Parking system and related IP because it was developed, funded and deployed in the company’s name; the 1st Defendant, while still a director, incorporated the 2nd Defendant and diverted contracts and IP to it, thereby breaching fiduciary duties; accordingly the Plaintiff’s claims against the 1st and 2nd Defendants (as specified) are allowed and the winding up petition filed by the 1st Defendant is dismissed as an abuse and on lack of just and equitable grounds.
