The High Court found no error in the Sessions Court: the letters constituted clear admissions by the director personally, he was the directing mind of the defendant company and breached fiduciary duties; the plaintiff proved its case on the balance of probabilities; accordingly the defendants were liable for the intercompany debt of RM570,381.78 and statutory penalties of RM72,319.93.
