On the balance of probabilities the Appellant, as a director who succeeded the deceased director and who had custody and control of the premises and keys, was in possession of the company records; under Companies Act provisions the company is entitled to those records to comply with SSM and LHDN requirements; an originating summons was appropriate to order delivery of documents; the HC's factual findings were not plainly wrong and therefore the appeal is dismissed and the order requiring delivery of the documents (Enclosure 1) stands.
