On the balance of probabilities the Sessions Court properly found defendants acted as promoters/agents pre-incorporation, forwarded quotation and documents, received payments and recorded transactions in plaintiff's books; company resolutions authorized purchase and defendants failed to return forklifts or account for rentals; therefore plaintiff proved entitlement to return of the forklifts, damages and interest and defendants' counterclaims failed; High Court dismissed the appeal, finding no error in the Sessions Court's factual and legal assessment.
