The developer (D1) is in continuing breach of Clauses 11(1) and 11(2) of the Schedule H SPAs for failing to complete subdivision, procure strata titles and execute registrable MOTs; the registered proprietor (D2) is not liable because it acted only as landowner under a privatisation agreement and did not assume developer responsibilities under the HDA 1966; plaintiffs failed to prove any compensable loss, so relief is limited to declaratory and mandatory orders compelling D1 to complete title issuance and execute MOTs within the time ordered, and not to general damages.
