The appeal was dismissed because the Share Subscription Agreement plainly entitled the Respondent to demand redemption on the defined Redemption Date and to convert failure to redeem into an immediately payable debt; the Appellants raised no bona fide triable issues (their procedural objection was technical and non‑prejudicial, the 9th tranche was not a precondition, time and place was not material and the 2nd and 3rd appellants were covered as ordinary shareholders/guarantors), therefore summary judgment was correctly entered below.
