Reading the Agreement as a whole, payment to the plaintiff was contingent on the Contractor (CRBC) awarding the Project to the Sub-Contractor pursuant to the Second Quotation; CRBC rejected the Second Quotation so the condition precedent in Clause 5 was not satisfied, the plaintiff did not procure the eventual awards, and therefore the defendant had no contractual obligation to pay the claimed RM4,276,027.10. The appeal is dismissed for that reason.
