The Federal Court dismissed the appeal and affirmed the Court of Appeal but on statutory grounds: although the impugned issuances breached s132D(1) CA 1965 they were not rendered an absolute nullity because the Companies Act provides statutory mechanisms (s63 and s355) for validation; the proper route is validation under those provisions where it is just and equitable and causes no substantial injustice, and on the facts validation was warranted. The Duomatic principle is not the correct vehicle to displace the statutory validation regime.

The Federal Court held that the Duomatic principle is not the proper vehicle to cure breaches of the mandatory statutory requirement in s132D(1) CA 1965 where statutory validation remedies exist; validation must be effected under the Companies Act (s63 and/or s355) and exercised only where it is just and equitable and would not cause substantial injustice. Applying the statutory tests to the facts, the court concluded validation was appropriate and dismissed the appeals, affirming the Court of Appeal orders to validate the impugned share issuances.

The Federal Court dismissed the appellants' appeals and affirmed the Court of Appeal's outcome for different reasons: the Duomatic principle should not be used to displace the statutory validation regime; where a share issuance contravenes s 132D(1) CA 1965 the correct legal route is validation under ss 63 and/or 355 CA 1965. Applying those statutory provisions to the facts (knowledge, acquiescence, delay, benefit derived by appellants and absence of refund) it was just and equitable to validate the three impugned allotments and to refuse the appellants' challenge.

Breach of s132D(1) was established but the proper remedy is application of statutory validation under ss63 and/or 355 Companies Act 1965; the Duomatic common law principle cannot be used to displace or circumvent the statutory validation mechanism; applying ss63/355 to the proven facts (knowledge, acquiescence, benefit, delay and absence of substantial injustice) it was just and equitable to validate the allotments and therefore the Court dismisses the appellants' appeals and affirms the Court of Appeal by granting validation orders for the impugned share issuances.
