The High Court found the Sessions Court was plainly wrong: the Sponsorship Agreement and MSN receipt were admitted as Part A documentary evidence establishing the agreement and payment facts; the defendant failed to prove force majeure or breach by the plaintiff sufficient to justify termination or the counterclaim; accordingly the Sessions Court decision was set aside and the appellant’s appeal allowed with costs.

On the balance of probabilities the court found the plaintiff failed to prove defendant breached the agreement and failed to prove delivery of a signed/stamped executed agreement or performance of key promotional obligations; defendant legitimately relied on clause 12 (force majeure) after the 30-day period and after discussions between the parties; clause 12.2 required refund for unperformed tournaments; accordingly the plaintiff's claim was dismissed and defendant's counterclaim for repayment of RM500,000 succeeded.

Defendant was estopped from denying the debt because its conduct and admissions (including rescheduling proposals and payments) acknowledged the obligation; documentary and witness evidence established the MYR300,000 was an initial payment towards the Agreed Fee for 2016 and a binding contract existed by conduct in 2016 despite formal signatures in 2017; Defendant failed to prove undue influence, uncertainty, or breach and failed to prove alleged losses, therefore Plaintiff's claim for the unpaid balance succeeds and Defendant's counterclaim fails.
