s.311(3)(a) CA 2016 permits a single shareholder holding the statutory threshold (>=10%) to requisition an EGM; Interpretation Act s.4(3) and binding authorities support reading 'members' to include the singular; alleged defects (timing of consents, inclusion of secretary removal, date/venue fixed by requisitionist) did not render the 3rd EGM Notice invalid; directors had statutory duty under s.312 to convene or permit member to convene under s.313, and therefore OS seeking declaratory relief was dismissed as the requisition was valid.
