Section 181 (now s346) must be construed broadly and permits courts to impose personal liability on directors or third parties where there is deliberate involvement or a sufficiently close nexus to oppressive or prejudicial conduct and where such attribution is fair and proportionate; on the facts liability was not imposed because the directors' conduct was found to be part of a salvage/warehousing exercise and imposition of personal liability would not have been fair or justified.
